Mergers and Acquisitions
A number of companies engage the firm as lead or special transaction counsel in mergers, business acquisitions/divestitures, auctions, restructurings, like-kind exchanges, strategic joint ventures and other material contractual arrangements. We guide clients through the proper structuring of new business opportunities. We advise on selection and formation of vehicles including corporations, limited liability companies, partnerships and joint ventures, and draft related documents. We draft and negotiate documentation for the transaction; organize and perform appropriate due diligence; coordinate satisfaction of conditions to closing such as real estate transfers and required third-party consents; prosecute applications for federal, state and local regulatory consents; assist with related tax planning; and coordinate antitrust compliance including Hart-Scott-Rodino Act filings and clearances. Consistent with its entrepreneurial orientation, the firm often plays a strategic role in structuring transactions, and then developing and implementing successful negotiation strategies.
